AGREEMENT TO OUR LEGAL TERMS

We are Vita Wellness Center and Spa (“Company,” “we,” “us,” “our“), a company registered in Colorado, United States at 9251 E. Peakview Ave. Unit D, Suite 7 (inside Tiffany Salon Suites), Greenwood Village, CO 80111.

We operate the website https://getvitawellness.com (the “Site“), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms“) (collectively, the “Services“).

Vita Wellness Center and Spa is a wellness and aesthetics center that provides personalized wellness treatments, IV drip therapy, semaglutide-based medical weight-loss programs, vitamin injections, facials, and related spa services. Our website provides information about our services, allows visitors to book appointments, purchase memberships, access wellness resources, and contact our support team.

4. SUBSCRIPTIONS

Billing and Renewal: Memberships automatically renew unless canceled.

Free Trial: Any free trial period will convert to a paid plan unless canceled before expiration.

Cancellation: You can cancel at any time by contacting tvigil@vitawellnesscenter.biz.

Fee Changes: We may change fees as allowed by law and will notify you before any change.

5. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which they are made available. Prohibited behaviors include unlawful, fraudulent, harassing, or harmful actions; uploading malicious code; scraping data; impersonation; or using the Services to compete with us.

6. USER-GENERATED CONTRIBUTIONS

The Services do not currently offer users the ability to publicly post content.

7. CONTRIBUTION LICENSE

By submitting feedback or information to us, you grant Vita Wellness Center and Spa the right to use and share such feedback for any lawful purpose without compensation to you.

13. DISPUTE RESOLUTION

Informal Negotiations: Before initiating arbitration, the Parties will attempt to resolve disputes informally for at least thirty (30) days.

Binding Arbitration: If unresolved, disputes will be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA) in Denver County, Colorado.

If any dispute proceeds in court rather than arbitration, it shall be brought exclusively in the state or federal courts of Colorado, and both Parties consent to personal jurisdiction there.

No class actions or representative proceedings are permitted.

14. CORRECTIONS

There may be typographical errors or inaccuracies on the Services. We reserve the right to correct and update information without prior notice.

15. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, VITA WELLNESS CENTER AND SPA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT OR THIRD-PARTY LINKED SERVICES.

16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL VITA WELLNESS CENTER AND SPA OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, IN THE SIX (6)-MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.

17. INDEMNIFICATION

You agree to indemnify and hold Vita Wellness Center and Spa harmless from any loss, damage, liability, or expense arising out of your use of the Services, violation of these Legal Terms, or infringement of any third-party rights.

18. USER DATA

We will maintain data transmitted to the Services for the purpose of managing performance and operations. You are responsible for maintaining backup copies of any data you submit.

19. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By visiting the Services and communicating electronically, you consent to receive electronic communications and agree that all electronic agreements and records satisfy legal requirements for written documents.

Program Description: By opting into any Vita Wellness Center and Spa text-messaging program, you consent to receive SMS messages to your mobile number, including appointment confirmations and promotional offers.

Opting Out: Reply “STOP” to any message to unsubscribe.

Message and Data Rates: Your carrier’s rates apply.

21. CALIFORNIA USERS AND RESIDENTS

22. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and Vita Wellness Center and Spa. If any provision is found unlawful or unenforceable, the remainder shall remain valid. These Terms operate to the fullest extent permitted by law. No waiver of any right shall be deemed a waiver of any future right.
